Article I Name This body shall be known as Clingan Ridge Baptist Church, Cleveland, TN.

Article II Purpose Our mission is to effectively reach out to the unsaved, cultivate spiritual growth and be a place of refuge, consistent with God's principles of love and compassion, in order to fulfill the Great Commission and bring honor to our Lord and Savior Jesus Christ.

Article III Membership Section 1: Reception of Members Any person may offer himself/herself as a candidate for membership in this church. All such candidates shall be presented to the church at any regular church service for membership in any of the following ways: • By profession of faith in the Lord Jesus Christ and for baptism according to the policies of this church. • By promise of a letter of recommendation from another Baptist church. The potential member’s letter should be in “good standing.” If the recommendation from the previous church is not in “good standing” the candidate will be interviewed by the Deacons for approval of membership. • By statement of prior conversion experience and immersion baptism when no letter is obtainable. • A person seeking membership must complete a new member’s class. The class will include review of Baptist doctrine. *All candidates will be presented at the next regular business meeting and formally accepted for membership. Should there be any dissent as to any candidate, such dissent shall be referred to the Deacons for investigation and making a recommendation to the church. Section 2: Duties of Members Members are expected to be faithful in all duties essential to the Christian life and also to attend habitually the services of this church, to give regularly for its causes, and to share in its organized work. Members are expected to understand and fulfill requirements of the Church Covenant. Members that meet the duties as listed in this section are considered to be members of “good standing”. Section 3: Rights of Members Such members which are in good standing may act and vote in the transactions of the church provided they are of the age of 16 and above. (Absentee votes will be accepted as per the above statements in this section and Article IV, Section 1). Section 4: Termination of Members Termination of membership from this church shall occur for any of the following: 1. Death of the member. 2. By letter of transfer to another church of like faith and order. 3. By request of the member. 4. By confirmation the member has joined another church. 5. By withdrawal of fellowship for any cause the church may deem proper. 6. By being removed from membership roll after due investigation by, and upon recommendation of the deacons based upon unexplained absence of such length to justify reasonable belief that the person no longer desires to continue as a member. 7. Except in the cause of death, all terminations of memberships shall be by a majority vote of the church assembled at a regular or special business meeting according to Article VII of these bylaws. Section 5: Roll of Inactive and Non-Resident Members By recommendation of the deacons based on continued absence and following diligent attempts to locate the absent member, these persons can be taken from the roll of active members of the church and placed on a roll of inactive and non-resident members. Any such action should be brought before the church in regular or special business meetings as defined in Article VII, Section 4 and 5. Section 6: Discipline of a Member In all cases of personal difficulty between members of this church, the parties shall endeavor to bring about reconciliation in the manner laid down by our Savior and recorded in Matthew 5:23-24, Matthew 18:15-16, and Mark 11:25. If any member holds and disseminates any view of doctrine considered by the church as unscriptural and hurtful; or shall be cause of strife and division, and after proper efforts to reclaim him/her, shall persist in the harmful practice, it shall be considered a disciplinary offense. In the event participants of an offense choose not to be restored spiritually, in accordance with Matthew 18:15-17, deacons shall bring a recommendation concerning the matter to the church and the church shall adopt or reject their recommendation without discussion. The purpose of all discipline is redemptive. Every effort shall be made in any matter of discipline to restore an individual to fellowship whenever possible. Section 7: Restoration of a Member Any person whose membership has been terminated for any condition which has made it necessary for the church to exclude him/her may, upon his/her request, be restored to membership. This will require an interview with the deacons and a simple majority vote of active members present upon evidence of his/her repentance and reformation. Section 8: Limitations Under no circumstance shall a person practicing homosexuality or who identifying themselves as homosexual be allowed to become a member of Clingan Ridge Baptist Church. Persons in an adulteress relationship shall not be allowed to become a member of Clingan Ridge Baptist Church. Under no circumstances shall a person practicing Polygamy be allowed to become a member of Clingan Ridge Baptist Church.

Article IV Church Leadership The following sub-sections should follow each section: • Election • Qualifications • Termination • Duties • Number (Deacons only) Section 1: Senior Pastor A. Election of Senior Pastor. A Senior Pastor shall be chosen and called by the church whenever a vacancy occurs. His election shall take place at a meeting called for that purpose, of which at least three separate notices from the pulpit should have been given. Upon recommendation from the deacons, a Senior Pastor Search Committee shall be elected by the church to seek out a suitable Senior Pastor, and the committee’s recommendation shall constitute a nomination. The Committee shall bring to the consideration of the church only one man at a time. Election shall be by ballot, an affirmative vote of three-fourths of the voting active members in good standing present being necessary to extend a call. To help provide active members in good standing that cannot be present at a Senior Pastor election an opportunity to vote by absentee ballot, those members can come by the church office at a specified date/time to obtain and cast his or her ballot. B. Qualifications. The Senior Pastor shall be a man that meets the Scriptural qualifications as outlined in Titus 1:5-9, I Timothy 3:1-7, 2 Timothy 4:1-2, shall be a tither, and shall give evidence of having been born-again. He shall be in agreement with the views of faith and practice held by this church, as set forth in its Bylaws and Church Covenant. Following the election of a man that is not ordained to this office, the Deacons of the church shall call for his ordination at the earliest possible date. C. Termination. The Senior Pastoral relationship may be terminated at any time by mutual consent of the Senior Pastor, church, or by two-thirds vote of the church by ballot. The resignation of the Senior Pastor may be oral or written. Fifteen (15) days of notice of such termination shall be given by the church or Senior Pastor. In the event the church should consider the dismissal of a Senior Pastor, the congregation shall be notified of such a meeting and its purpose at a minimum three times from the pulpit. Any such dismissal action should be recommended to the church by the deacons in regular or special business meetings as defined in Article VII, Section 4 and 5. A two-thirds vote of active members in good standing at such meeting shall prevail. D. Duties. The Senior Pastor shall have charge of the welfare and oversight of the church. He shall preside at all meetings, except as herein provided. He shall be ex-officio member of all regular and special committees of the church. Section 2: Associate Pastor A. Election of Associate Pastor. An Associate Pastor shall be chosen and called by the church whenever a vacancy occurs and church finances allow. His election shall take place at a meeting called for that purpose, of which at least three separate notices from the pulpit should have been given. Upon recommendation from the deacons, an Associate Pastor Search Committee shall be elected by the church to seek out a suitable Associate Pastor, and the committee’s recommendation shall constitute a nomination. The Committee shall bring to the consideration of the church only one man at a time. Election shall be by ballot, an affirmative vote of three-fourths of the voting active members in good standing present being necessary to extend a call. B. Qualifications. The Associate Pastor shall be a man that meets the Scriptural qualifications as outlined in Titus 1:5-9, I Timothy 3:1-7, 2 Timothy 4:1-2,, shall be a tither, and shall give evidence of having been born-again. He shall be in agreement with the views of faith and practice held by this church, as set forth in its Constitution. Following the election of a man that is not ordained to this office, the Deacons of the church shall call for his ordination at the earliest possible date. C. Termination. The Associate pastoral relationship may be terminated at any time by mutual consent of the Associate Pastor, church, or by two-thirds vote of the church by ballot. The resignation of the Associate Pastor may be oral or written. Fifteen (15) days of notice of such termination shall be given by the church or Associate Pastor. In the event the church should consider the dismissal of an Associate Pastor, the congregation shall be notified of such a meeting and its purpose at a minimum three times from the pulpit. Any such dismissal action should be recommended to the church by the deacons in regular or special business meetings as defined in Article VII, Section 4 and 5. A two-thirds vote of active members in good standing at such meeting shall prevail. D. Duties. The Associate Pastor shall have charge of the welfare and oversight of the church as delegated to him by the Senior Pastor. Section 3: Youth Pastor A. Election of a Youth Pastor. A Youth Pastor shall be chosen and called by the church whenever a vacancy occurs and church finances allow. His election shall take place at a meeting called for that purpose, of which at least three separate notices from the pulpit should have been given. Upon recommendation from the deacons, a Youth Pastor Search Committee shall be elected by the church to seek out a suitable Youth Pastor, and the committee’s recommendation shall constitute a nomination. The Committee shall bring to the consideration of the church only one man at a time. Election shall be by ballot, an affirmative vote of three-fourths of the voting active members in good standing present being necessary to extend a call. B. Qualifications. The Youth Pastor shall be a man that meets the Scriptural qualifications as outlined in Titus 1:5-9, I Timothy 3:1-7, 2 Timothy 4:1-2,, shall be a tither, and shall give evidence of having been born-again. He shall be in agreement with the views of faith and practice held by this church, as set forth in its Constitution. Following the election of a man that is not ordained to this office, the Deacons of the church shall call for his ordination at the earliest possible date. C. Termination. The Youth pastoral relationship may be terminated at any time by mutual consent of the Youth Pastor, church, or by two-thirds vote of the church by ballot. The resignation of the Youth Pastor may be oral or written. Fifteen (15) days of notice of such termination shall be given by the church or Youth Pastor. In the event the church should consider the dismissal of a Youth Pastor, the congregation shall be notified of such a meeting and its purpose at a minimum three times from the pulpit. Any such dismissal action should be recommended to the church by the deacons in regular or special business meetings as defined in Article VII, Section 4 and 5. A two-thirds vote of active members in good standing at such meeting shall prevail. D. Duties. Youth Pastor encompasses activities requiring the ongoing responsibility of meeting the spiritual needs of the youth and young adults of the church. These include appropriate activities with spiritual emphasis, including mid-week services, as well as activities for socialization. The Youth Pastor will also serve as councilor to the youth and their parents. He is called by the church and is under direct guidance and supervision of the Senior Pastor. He will assist the Senior Pastor in visitation and outreach, as well as any other duties assigned by the Senior Pastor, but his principal responsibility and focus is the overall youth ministries of the church. Those include Children’s, Middle School, High School, and College Age ministries. Section 4: Minister (or Director) of Music A. Election of Minister of Music. A Minister of Music shall be chosen and called by the church whenever a vacancy occurs and church finances allow. His election shall take place at a meeting called for that purpose, of which at least three separate notices from the pulpit should have been given. Upon recommendation from the deacons, a Ministry of Music Search Committee shall be elected by the church to seek out a suitable Minister of Music, and the committee’s recommendation shall constitute a nomination. The Committee shall bring to the consideration of the church only one man at a time. Election shall be by ballot, an affirmative vote of two-thirds of the voting active members in good standing present being necessary to extend a call. B. Qualifications. Personal Attributes • Strong commitment to Jesus Christ and a demonstrated desire to exalt The Lord through music • Southern Baptist doctrinal belief • Good verbal and written communication skills • Should be a ‘people person’ and be comfortable on stage • Flexibility to consider new methods to enhance the music ministry and worship of the church Competencies • Effective planning and organizational skills • Skill in choir leadership and training • Ability to distinguish between vocal and accompaniment parts and ability to teach individual vocal parts to choir members • Selection of music appropriate for services • Discernment and flexibility to follow the leadership of The Holy Spirit during worship services C. Termination. The ministerial relationship may be terminated at any time by mutual consent of Minister of Music, church, or by majority vote of the church by ballot in regular session. The resignation of the Minister of Music may be oral or written. Fifteen (15) days of notice of such termination shall be given by the church or Minister of Music. In the event the church should consider the dismissal of a Minister of Music, the congregation shall be notified of such a meeting and its purpose at a minimum three times from the pulpit. Any such dismissal action should be recommended to the church by the deacons in regular or special business meetings as defined in Article VII, Section 4 and 5. A two-thirds vote of active members in good standing at such meeting shall prevail. D. Duties. The Music Director should demonstrate a strong personal commitment to Jesus Christ and be willing to share a testimony of their salvation decision. The Director shall lead the choir and congregation in worship through music and should be discerning and responsive to the leadership of The Holy Spirit. The Music Director will be accountable to the Senior Pastor and should collaborate with the Senior Pastor as they conduct worship services. Section 5: Deacons A. Election. Prior to the election of Deacons by the church body, notice of such election shall be made three times from the pulpit or church bulletin. The Senior Pastor and/or Chairman of Deacons will interview men and who appear to be qualified to explain the qualifications and expectations and secure a commitment from those willing to serve. The qualified names of those up for election shall be provided to the church. Election shall be determined by an affirmative vote of a majority of present voting active members in good standing. Following the election of a man that is not ordained to this office, the Deacons of the church shall call for his ordination at the earliest possible date. B. Qualifications. When elected to serve, Deacons shall meet the Scriptural qualifications outlined in Acts 6:1-7 and I Timothy 3:8-13, and shall attend and actively support all phases of the church program, be tithers of their income, and cooperate in spirit. C. Termination. A deacon may be dismissed by disciplinary action of the church. In the event the church should consider the dismissal of a deacon, the congregation shall be notified of such a meeting and its purpose at a minimum three times from the pulpit. Any such dismissal action should be recommended to the church by the Chairman of deacons or Senior Pastor in regular or special business meetings as defined in Article VII, Section 4 and 5. A two-thirds vote of active members in good standing at such meeting shall prevail. D. Duties. 1. The Deacons are problem solvers, people servers, and Pastor helpers. 2. The Deacons shall be zealous to guard the unity of spirit within the church in the bond of peace and harmony. 3. They shall serve as a council of advice and confer with the Pastors in all matters pertaining to the welfare and work of the church. 4. They are to establish and maintain personal fraternal relations with all members of the church. This does not delegate to the Deacons the right of authority over members of the church, but is to be advisory in nature only. 5. In counsel with the Pastors, and by such methods as the Holy Spirit may direct in accordance with the New Testament teaching, they are to have responsibility of the discipline of the church, in administration of which they are to be guided always by the principles set forth in Matthew 18:15-17; I Corinthians 5:9-13; I Thessalonians 5:12-14. 6. The Deacons shall serve as a pulpit supply committee. In case of absence or incapacity of the Senior Pastor, subject to advice from and conference with him, the Chairman of Deacons and the Deacon Body shall provide for pulpit supply. In any period when the church is without a Senior Pastor, unless the church shall otherwise provide, the Chairman of Deacons and Deacon Body will arrange the temporary pulpit ministry and take counsel with reference to securing an interim Senior Pastor. If the church has a Senior Pastor Search Committee, the Deacons shall in no wise conflict with the work of such committee. E. Number. There shall be as many Deacons as the church deems needful.

Article V Officers Section 1: General The officers of the church shall be elected by the entire body of church members to service the church in specific areas of responsibility. Any candidate for church office shall be a member of the church in good standing, whose Christian character and reputation fit him or her for that service. Unless otherwise noted, all church officers shall serve for a term of one year and may be re-elected for subsequent terms at the discretion of the church. Each officer shall be able to give a report of his or her department’s activities at each regular business meeting, if requested. Section 2: Trustees A trustee shall be an active member of the church, being faithful in attendance to the majority of services, devoted to carrying out the desires of the church, of legal age, having been a member of this church for at least five years, a property owner in the local area, and responsible in his/her affairs. The church shall elect three Trustees to serve as legal officers for the church. They shall hold in trust the church property. Upon a specific vote of the church authorizing each action, they shall have the power to buy, sell, mortgage, lease, or transfer any church property. When the signatures of trustees are required, they shall sign legal documents involving the sale, mortgage, purchase, rental of property, or other legal documents related to church approved matters. Trustees shall be elected to serve for three years, and shall be eligible to succeed themselves. Section 3: Moderator The Moderator shall be the Senior Pastor, in his absence the Chairman of Deacons, in his absence Secretary of Deacons shall call the church to order and serve as moderator of the meetings listed in Article VII, sections 4 and 5. Section 4: Clerk The clerk shall be responsible for keeping an accurate record of the minutes of all church business meetings. The clerk shall prepare the annual associational letter of the church. The clerk shall secure the letters of prospective church members received by the church as members from another church of like faith and order. The clerk shall issue letters of recommendation for members who desire to unite with another church of like faith and order as authorized by the church. The clerk shall preserve all the papers of the church and keep those records available to provide a true history of the church. The clerk shall keep up to date the roll of church membership with dates and methods of membership with dates and methods of membership, correct names, addresses, and any other pertinent information needed by the Senior Pastor or church body. Section 5: Treasurer The church shall elect annually a Church Treasurer. It shall be the duty of the Treasurer to see that all monies are paid out as approved by the church, keeping at all times an itemized account of all receipts and disbursements. It shall be the duty of the Treasurer to submit to the church quarterly, a report of receipts and disbursements of the preceding quarter. All books, records, and accounts kept by the Treasurer shall be considered the property of the church. • Financial Secretary The Financial Secretary shall pay out monies and assist the Treasurer with the financial tasks under the watch care of the Treasurer. Section 6: Sunday School Director The Sunday School Director shall be elected by the church. The Sunday School Director shall see that each class has enough teachers and workers; that they are equipped to conduct their classes; that accurate records are kept; and that materials are distributed to each class. • Sunday School Teachers & Assistants Sunday school teachers and assistants shall teach the Biblical revelation; lead in reaching all church members to worship, witness, learn, and minister daily; provide and interpret information regarding the work of the church and the denomination. Section 7: Men’s Ministry Leadership Team The men’s ministry leadership team shall be elected by the church. Leadership team duties encompass activities requiring the ongoing responsibility of meeting the spiritual needs of the men of the church. The team is also responsible to organize and supervise workers in this ministry. Section 8: Ladies Ministry Leadership Team The ladies ministry leadership team shall be elected by the church. Leadership team duties encompass activities requiring the ongoing responsibility of meeting the spiritual needs of the ladies of the church. The team is also responsible to organize and supervise workers in this ministry. Section 9: Children’s Ministries Director The Children’s Ministry Director shall be elected by the church. Reporting to the Youth Pastor, the director’s duties encompass activities requiring the ongoing responsibility of meeting the spiritual needs of the children under sixth grade of the church. The director is also responsible to organize and supervise workers in this ministry including the nursery. As finances allow, this position is intended to be compensated financially. Section 10: Middle School Director The Middle School Director shall be elected by the church. Reporting to the Youth Pastor, the director’s duties encompass activities requiring the ongoing responsibility of meeting the spiritual needs of the youth between sixth and eighth grade of the church. The director is also responsible to organize and supervise workers in this ministry. This position is intended to be compensated financially. Section 11: High School Director The High School Director shall be elected by the church. Reporting to the Youth Pastor, the director’s duties encompass activities requiring the ongoing responsibility of meeting the spiritual needs of the youth between ninth and twelfth grade of the church. The director is also responsible to organize and supervise workers in this ministry. The Youth Pastor may serve as the High School Director if he deems appropriate. As church finances allow, this position is intended to be compensated financially Section 12: College Age Director The College Age Director shall be elected by the church. Reporting to the Youth Pastor, the director’s duties encompass activities requiring the ongoing responsibility of meeting the spiritual needs of college age young adults following high school of the church. The director is also responsible to organize and supervise workers in this ministry. The Youth Pastor may serve as the College Age Director if he deems appropriate. As church finances allow, this position is intended to be compensated financially. Section 13: Visitation Director The Visitation Director shall be elected by the church. The director’s duties encompass activities requiring the ongoing responsibility of meeting the spiritual needs of those needing visitation (i.e. time of illness and bereavement, etc.) from the church. The director is also responsible to organize and supervise workers in this ministry. As church finances allow, this position is intended to be compensated financially. Section 14: Bible School Director The Bible School Director’s duties encompass activities requiring the ongoing responsibility of meeting the spiritual needs of the children under fifth grade of the church as it relates to Bible School. The director is also responsible to organize and supervise workers in this ministry. Section 15: Senior Adult Director The Senior Adult Director shall be elected by the church. The director’s duties encompass activities requiring the ongoing responsibility of meeting the spiritual needs of the senior adults of the church. The director is also responsible to organize and supervise workers in this ministry. Section 16: Personnel Committee Members Responsibilities defined in Article VIII, Section 2

Article VI Ordinances We believe the Lord Jesus Christ is head of the church, law-giver of the gospel dispensation. He is the only institutor of ordinances. It was optional with Him to institute many ordinance or few. It was His pleasure to appoint only two; namely baptism and the Lord’s Supper. Section 1: Baptism A person who receives Jesus Christ as Savior by personal faith, who professes Him publicly at a worship service, and who indicates a commitment to follow Christ as Lord, shall be received for baptism. • Baptism shall be immersion in water. • Baptism shall be administered by a pastor or a deacon authorized by the church. The member may also have a family member who is an ordained minister administer the baptism. • Baptism shall be administered as an act of worship at any of the worship services. • A person professing Christ and failing to be baptized after a reasonable length of time shall be counseled by any pastor and/or staff and deacons. Being a church ordinance, baptism is a prerequisite to the privileges of church membership. Section 2: The Lord’s Supper The Lord’s Supper is a symbolic act of obedience whereby baptized believers, after self-examination, may, through partaking of the bread and fruit of the vine, commemorate the death of Jesus Christ and anticipate His second coming. • The Lord’s Supper shall be observed at minimum twice per year. • The pastors and deacons shall be responsible for the administration of the Lord’s Supper.

Article VII Church Meetings Section 1: The Church Year 1. The church year shall be the same as the associational year (September 1st through August 31st). 2. The financial year shall be as the calendar year (January 1st through December 31st). 3. The Sunday School year shall be the same as the program organization year of the Southern Baptist Convention (September 1st through August 31st). 4. Other specific church programs (i.e. AWANA, Kid’s Church, etc.) will be defined by the applicable director and/or Pastor. Section 2: Worship Services The church shall meet regularly each Sunday morning, Sunday evening, and Wednesday evening for preaching, instruction, evangelism, and for the worship of the Almighty God. These meetings will be open for the entire membership of the church and for all people and shall be conducted under the direction of the Senior Pastor. Section 3: Special Services Revival services and any other church meetings will be essential in the promotion of the objectives of the church shall be placed in the church calendar. Section 4: Regular Business Meeting Regular business meetings shall be held quarterly on the third Sunday night following each quarter’s end unless changed by action of the church. Section 5: Special Business Meeting A specially called business meeting may be held to consider special matters of significant nature. If possible, notice will be given at three services prior to the specially called business meeting unless extreme urgency renders such notice impractical. Special business meetings may be called by the moderator or by an affirmative vote of the deacon body. Section 6: Quorum Twenty-five percent of active membership roll is required to conduct business. Office election or special called business shall also require twenty-five percent active membership to conduct business or hold an election except Senior Pastor. When calling a Senior pastor or dismissing a Senior pastor fifty percent active membership participation will be required to validate the election.

Article VIII Committees Section 1: Finance Committee The purpose of the Finance Committee is to develop a program which includes budget development, budget administration, stewardship development, and general oversight of the Church finances. The committee will also provide accountability for the Treasurer and the Financial Secretary. The Finance Committee shall consist of 6 members, one being elected the chairperson by the committee. The Church Treasurer and Financial Secretary shall be non-voting members of the committee. Members of this committee shall be elected annually by the Church. The duties of the Finance Committee are as follows: • Develop the Budget: The Finance Committee has the responsibility for developing the church’s budget. Once the church has established its program of work, a budget can be planned and adopted to implement this program. In budget development several important areas of work need to be considered. They are: 1. The record of giving and potential giving of church members. 2. The analyzing of current strengths and weaknesses. 3. The evaluating of budget requests. 4. The directing of the annual budget preparation. 5. The presenting of the budget to the Deacons and church for adoption. • Administer the budget: Once a budget has been planned and adopted, the Finance Committee has responsibility for administering the budget. The items to be considered in budget administration are: 1. Approving budget expenditures of over $1,000. 2. Reviewing expenditures in terms of budget allocation. 3. Recommending needed adjustments in the budgets. 4. Recommending an adequate financial system. 5. Review of Quarterly Financial reports. Section 2: Personnel Committee COMPOSITION OF COMMITTEE: 1. This committee shall be composed of 3 or 4 members elected annually as needed upon the recommendation of the Deacon Board. Committee members shall be elected to serve for three years, and shall be eligible to succeed themselves. 2. This committee should, if possible include some church members who have experience in personnel matters in their secular work. 3. Any member of the Personnel Committee who has a member of their immediate family (spouse, child, brother, sister, or anyone living in their home) that is employed by the church in any capacity, shall abstain from discussion and or voting on any issues related to their employment. Members of the Committee should notify the committee immediately if any applicant is related so that no conflict of interest will take place in the discussion regarding hiring, dismissal, or benefits for that individual. RESPONSIBILITIES OF THE COMMITTEE: 1. This committee is responsible to oversee personnel issues or matters for CRBC. Committee members are not intended to assign day-to-day tasks to church staff. The committee should set up structure and accountability to ensure church staff success by carrying out the following responsibilities: A. Evaluate positions and recommend additions/deletions of positions putting these recommendations before the church for their approval. B. Review, update and develop job descriptions for positions needed and approved by the church. C. Work with the Church Finance Committee to determine possible compensation for positions approved by the church. D. Receive resumes from persons seeking positions with the church, with the exception of the office of pastors or any other ministerial staff positions that the church has charged specific committees with the responsibility for filling the position. E. Work closely with the Pastor Search Committees and the Church Finance Committee to develop a package for prospective pastoral candidates and other staff positions. F. Interview and recommend qualified candidates for approved positions on the church staff as authorized. G. Establish policies to assist the church to make the ministry and work of the church staff and employees effective and meaningful. H. Policies should include, but are not limited to the following: 1) Compensation 2) Workplace Guidelines 3) Benefits 4) Performance Standards 2. This committee shall provide to the congregation information and updates regarding personnel issues only as essential for the church to make a final decision regarding the hiring or dismissal of personnel. Confidentiality should be maintained at all times through this process. POLICIES: 1. COMPENSATION This committee will work with the employees of the church to determine pay periods, the method to be used to record hours worked, overtime issues and payroll deductions. 2. WORKPLACE GUIDELINES This committee shall recommend to the church any policies related to personal appearance or dress code, office hours, attendance at staff meetings, tardiness or lateness, sexual or other forms of harassment, personal or romantic relationships, addictive behavior, outside employment and activities, use of church equipment, personal and ethical responsibilities, financial integrity, counseling sessions, confidentiality of church information, email usage, workplace safety and security. BENEFITS: 1. This committee will recommend for church approval policies related to but not limited to the following: a. vacation b. holidays c. sick days d. retirement (Annuity) participation* e. Social Security compensation as appropriate* f. health care insurance and health care reimbursements as appropriate* 2. This committee will work with the Budget and Finance Committees in the areas indicated above with an “*”. PERFORMANCE STANDARDS: 1. Position descriptions will be used to determine the effectiveness of the employee or staff member in relation to their work. 2. The committee will develop a performance evaluation process to be used annually. This committee will work with the Senior or Associate Pastor to set a time for performance evaluations. The committee may meet with the Senior or Associate Pastor to complete the evaluation. COMMITTEE MEETINGS: 1. This committee should meet monthly. Special meetings may be called by the Chair as needed to deal with employee or staff concerns. 2. The Chair should develop an agenda for each meeting and the committee should follow the agenda. Urgent or emergency items should be dealt with in a called meeting as necessary. 3. No action should be taken or recommendations made without a quorum present and voting. For this committee’s purposes, a quorum is met with half of the committee present. 4. The committee should report to the church on a regular basis to keep the church informed of issues related to personnel. Section 3: Education Committee This committee shall consist of six members, one of which will be the Sunday School Director. The committee works closely with the Sunday School Director and Minister of Education to develop and implement an effective strategy for teaching the Bible effectively and reaching persons of all ages for Bible study. The committee develops and implements an effective strategy for training and nurturing new believers and Church members in order to bring them to Christ-like maturity and involvement in meaningful ministry and service within our Church family, our community, and our world. Working with Children’s Ministry Director, the committee develops and implements a comprehensive preschool and children’s ministry which will result in spiritual and social development of our children. Section 4: Ushers Ushers shall be elected by the church. There shall be a Head Usher. The Head of Ushers shall schedule ushers for each service where ushers are needed. The duties of ushers shall be as follows: • Greet people before and after services. • Seat people during service. • Provide information to people concerning church services, programs, facilities, etc. • Distribute bulletins and visitor cards. • Receive the offering. • Be alert to the needs of persons during the services. • Help maintain the order and continuity of services.

Article IX Parliamentary Rules Robert’s Rules of Order, Revised, is the authority for parliamentary rules of procedure for all business meetings of the church. Discussion on motions should be limited to active men of church in good standing.

Article X Church Policies* Section 1: Policies for Fellowship Facilities Please return tables to position in which they were found: • Small round children’s tables/brown chairs - in front • 10 white round tables/white chairs • Brown round tables/gray chairs - in back Do not lean anything against wall or stick anything on wall. If additional brown chairs are used, please return to rack. Sweep floor and spot mop any spills. Check restrooms before leaving for water running, wet floor, paper towels on floor, etc. Turn off all lights before leaving. Any spills that occur in the refrigerator should be cleaned. Empty garbage cans. Turn all thermostats to “Off” Section 2: Wedding Policy GENERAL GUIDELINES: 1. Any couple contemplating being married at Clingan Ridge Baptist Church must meet with a staff member. Because a wedding is a covenant made before God, we strongly believe that a couple should be married in the church where they attend and plan to raise their family. If you do not currently have a church home, we would welcome you to join Clingan Ridge. 2. Only those couples that are willing to receive premarital counseling from one of our staff pastors may use our facilities. 3. Because the wedding is a religious ceremony, the use of secular music is discouraged. Please be prepared to review your choice of music and your wedding ceremony with the pastor or his designee at least two weeks prior to the wedding. The pastor or his designee has the option to refuse any part of the ceremony or music he feels is inappropriate. 4. The dress of the wedding party shall be in good taste for a religious ceremony. 5. Due to the sophistication of our sound and lighting equipment, only trained Clingan Ridge technicians will be allowed to operate our equipment. 6. You must use chase candles only. In order to prevent damage to the carpet and/or furniture, wax candles are NOT allowed. Make sure your florist understands this when giving a price quote for your decorations. 7. NO rice or confetti may be used inside or outside. Birdseed is acceptable to use outside away from the building entrances, but it may not be handed out inside the building. Bubbles are acceptable outside the building. 8. ALCOHOLIC BEVERAGES AND SMOKING ARE NOT ALLOWED. Please be respectful of God’s house. No wedding or rehearsal will be conducted when any member of the wedding party is under the influence of alcoholic beverages or drugs. 9. Only artificial/silk flower petals may be dropped in the aisle by your flower girl. This will protect our floor from stains. 10. Set-up for the wedding can in no way interfere with church related services, activities, or programs and should be done in a reasonable period of time. Designated rooms will be provided for the various members of the wedding party to dress. 11. The custodian will move stage furniture. The piano, organ, drums, and other musical equipment cannot be moved. The church will make available temporary panels that can be used to hide the musical equipment. The sound technicians will remove microphones and microphone stands. 12. Saturday night weddings should be concluded by 7:00 p.m. in order to give ample time for clean-up and restoring the sanctuary to its proper condition. Due to service schedule, there will be no Sunday weddings. 13. All personal property and decorations must be removed immediately following the ceremony. We do not have adequate room to store such items. Clingan Ridge Baptist Church is not to be held responsible for personal or rented items. If flowers are to be left for Sunday services, please notify church staff. 14. Decorations cannot be taped to pews, walls, furniture, etc. Nails, tacks, screws, etc. also cannot be used to attach any decorations in any part of the church. 15. NO FOOD OR DRINK IS ALLOWED IN THE SANCTUARY. 16. Active members and immediate family of active members of Clingan Ridge Baptist Church will be charged a $250.00 building use fee. (Immediate family includes father, mother, sisters, brothers, sons, daughters, and grandchildren.) 17. Friends who are not members of Clingan Ridge Baptist Church will be charged a $1,000.00 building use fee. 18. The bride and groom are asked to designate a person to be a contact person who has the authority to make decisions and/or provide information if necessary. 19. Payment must be acquired prior to securing the wedding date and facility. Section 3: Church Van Policy 1. Charge all local gas at the 25th Street Chevron. Turn in gas receipts, keys, and paperwork to the church office by the next business day. 2. Drivers are responsible to make sure the vehicle interior is in clean condition after use. Remove debris and clean up spills. 3. Any mechanical problems should be reported immediately to the church office. 4. All accidents should have an accident report made immediately by the appropriate police department. This must be reported promptly to the church office or transportation committee. 5. Vehicle must be locked when not in use. 6. All passengers must have seat belts fastened when vehicle is in motion. 7. No smoking in vehicles. 8. Drivers must be church approved and listed with the church office. (Please provide the church office with a copy of your driver’s license and your personal insurance information.) 9. Due to insurance regulations, vehicles will be used only for church related activities. 10. Scheduling of vehicle usage will be through the church office. You should schedule the vehicle at least 24 hours prior to your trip. The transportation committee will settle any scheduling problems. 11. Groups reserving vehicles for youth and children’s activities must secure adequate supervision. 12. Vehicles must be driven in a safe and courteous manner. Violators will be removed from approved drivers list until the transportation committee reviews the violation. 13. The driver checking out the vehicle is responsible for vehicle inspection. Notify the transportation committee before leaving church grounds if you find an unsafe vehicle condition. 14. If you are under the age of 25, you must be approved by the vehicle committee to drive any church vehicle. 15. If you are approved to drive the People Mover and are under the age of 25, you must be accompanied by someone over the age of 25. Section 4: Interim Staff Positions Clingan Ridge Baptist Church 12/2/2009 POLICY STATEMENT: Interim Staff Positions An interim staff position is a transitional staff position invited by the Deacon Body and voted on by the congregation to serve during the interim period while the search committee seeks a replacement for a vacant staff position. All vacant staff positions will require that an interim be duly elected while the search committee seeks a replacement. The interim period is important in the transition between staff positions. This can be a time of problem-solving, renewal, healing, reaffirmation of faith, and planning for the future. PROCESS 1. The Deacon body will seek out and recommend a candidate to fill the interim staff position. a. Will ensure proper skills, experience, and qualifications b. Will determine terms (salary, hours, etc.) 2. The Deacon body will vote, and if 100%, will recommend the candidate to the congregation. 3. The congregation will vote and after a simple majority vote the candidate will become the interim. ADDITIONAL INFORMATION 1. The interim will serve until the permanent position is filled or until the Deacon Body determines the interim is not filling the role or is no longer required. 2. The interim will be paid according to skills, experience, and qualifications, within the salary range for the vacant position. 3. The interim, once appointed and elected by the congregation will not be eligible to apply for the permanent position. 4. If an interim does apply for the permanent position he/she must resign immediately. 5. The interim will work closely with the Deacon Body and Pastor during the interim period. 6. An “Assistant” to a vacant position may apply for an interim position as long as the “Assistant” does not become the interim. Section 5: Flower Policy Flowers for funerals are ordered for the death of a church member, church member’s mother, father, sister, brother, spouse or child. If the family requests no flowers, a gift may be sent in the form of a donation to a charity or cause; Bibles may be purchased and placed in their memory; or other similar requests. Flowers are not sent to members or church member’s family who are ill or hospitalized. Section 6: Benevolence Policy A CRBC member’s need or request for assistance will be reviewed on a case-by-case basis, but each request should be acted upon no later than 3 days after the request is made. Church member benevolence requests should be forwarded to the benevolence department head or in his absence the chairman of the deacons. The following sections of the policy are applicable to non-church members only. Step 1: Help requests should be forwarded to the church office. Church staff will talk with individuals that are requesting assistance to gain understanding of his or her immediate needs as categorized below. The office should obtain a name and number of each person contacting the church and complete a help request form. The church’s ministry assistant should keep this information on record in the church office. Step 2: (a) If the person has a need for clothes, food, soap, gas, etc. forward the information to Food Bank director of CRBC to coordinate assistance. These needs should be met as soon as possible. (b) If the need is from the result of an emergency, disaster (i.e. fire, flood, etc.), the individuals names, numbers, background information should be forwarded to the benevolence department head or in his absence the chairman of the deacons. These requests for assistance should be acted upon no later 3 days after the request is made. Additionally, the church may take up a special offering to assist the need if necessary. (c) If the individual’s need is different from types (a) and (b) above, the following steps should be taken to address the individual’s needs. (1) The requester should be informed of benevolence policy and procedures of CRBC. Those procedures are as follows. a. All general requests are first referred to Red Cross of Bradley County. The Red Cross is well equipped to assess the needs of individuals and also provide for many of those needs. We believe working in partnership with the Red Cross that we can maximize the assistance provided for each individual. Contact Information: Red Cross of Bradley County (Emergency Relief Program) Phone: (423) 472-1595 (2) After the requester contacts and meets with Red Cross, the requester can contact CRBC for follow-up assistance and/or consultation. (3) If the requester has met with Red Cross and requests a meeting with CRBC, the ministry assistant should schedule a meeting to discuss the needs of the requester and contact a Deacon to inform him of the meeting request. Prescheduled meeting times are set for the first and third Tuesday every month at 6:30 unless special circumstances require that meetings be rescheduled. The ministry assistant should not schedule more than five appointments (each meeting 15 minutes in duration) on a single Tuesday, and a benevolence meeting will not be held unless there has been a request for a consultation meeting. (4) If a CRBC meeting has been requested or in the process of being scheduled the ministry assistant at CRBC will contact the Red Cross, and ask that the requester’s application and other information available be faxed to CRBC. Verbal information gathering is considered acceptable if we document this information on our assistance applications in the church office. (5) The contacted deacon should ensure that one additional deacon is present for the meeting(s) with the requester(s). He should also make sure that available information regarding the request is obtained from the ministry assistant prior to the meeting. (6) Participating deacons should meet 15 minutes in advance of the meeting to review and discuss available information. The meeting itself should focus on the following: a. Requesters relationship with Jesus Christ and spiritual needs b. Requesters material, financial needs: Note: Any financial need in excess of $200 will require the chairman of deacons’ approval. Any financial needs in excess of $500 require approval of deacon majority. c. Ways church could possibly help and minister to requester’s needs d. Encourage church attendance or schedule follow-up visits to further minister to them (7) Following the meeting, the participating deacons will decide which needs/requests CRBC should try to meet based on the information available within a week of the meeting, and also determine what external resources and agencies might be beneficial to the requester. External resources include: 1. Bradley/Cleveland Community Services Agency - Financial Support 479-4111 2. Cleveland Emergency Shelter - Temporary Housing 478-1458 3. United Way - Other Community Services(counseling, addiction, etc.) 339-1110 or Dial 2-1-1 * (see note below) * United Way of Bradley County, working with the United Way of Greater Chattanooga, is providing 2-1-1 informational and referral service for those in need in Bradley County. By calling 2-1-1, individuals may find out about services where they may receive assistance, or be directed to other organizations which may help. Along with this service, the United Way of Bradley County's Community Service Directory has been merged with the 2-1-1 service directory, so that anyone with a specific need may find out about a program, organization or service that is available in the region, including Bradley and Polk counties. (8) If applicable, a P.O. or check request form (see attachment 1)should be completed and forwarded to the Pastor of Administration. He will review and process the check request to determine if CRBC can financially meet the need. After approval or denial, he will contact the appropriate deacon and provide a check for payment if approved. (9) The requester will be contacted and informed of CRBC’s decision regarding assistance and informed of other external resources that might be helpful in meeting current or future needs. (10) If the request is approved, the deacon that forwarded the check request should ensure that bill payment is made directly to the debtor. In certain cases, the church office may elect to mail the bill payment out to the debtor. Note: Cash should never be given to the requester. (11) A final report should be provided to the ministry assistant listing what assistance was provided to the requester for records. Section 6: Visiting Minister Compensation Policy Visiting minister compensation should be $100 per service for local ministers. An out of town minister would receive $150 per service, as well as up to $200 for hotel expense. The maximum expenditure for a visiting minister should be no more than $500 per weekend or $650 per week. The policy does not prevent collection of a love offering for a visiting pastor if approved by deacon or pastor present at service. This policy does not apply to ministers here for revivals. * Any listed Policy can be amended outside of the bylaw amendment process. Such amendments to listed Policies will be brought before the church in a scheduled business meeting to be approved by a simple majority vote. All current Policies will be on file in the Church office. Article XI Amendments Section 1: Adoption These by-laws shall be considered adopted and in immediate effect if and when this church votes in favor of same. Section 2: Authority These by-laws shall supersede any prior policies (written or unwritten) of the church. Section 3: Amendments These by-laws may be amended, altered, or repealed by a two-third percentage vote of those active members in good standing present at any regular or special business meeting, provided the following has been done: 1. Such amendments, alterations, or repeal must be presented in writing to the church clerk and, 2. The clerk shall within ten days publicize the matter to the active church membership, and 3. The active church membership shall be allowed at least thirty (30) days to consider the matter before a vote is taken.
